Choosing the Right Business Structure

1. Private Limited Company (Pvt Ltd)
The most popular corporate structure in India, offering high credibility to investors, banks, and clients. It limits personal liability, permits 100% FDI, and makes equity fundraising seamless. Requires a minimum of 2 directors and 2 shareholders.
2. Limited Liability Partnership (LLP)
An alternative corporate business form that combines the limited liability of a company with the internal flexibility of a traditional partnership. LLPs are governed by the LLP Agreement. It has lower compliance overhead compared to Pvt Ltd companies.
3. One Person Company (OPC)
Enables a single founder to register a limited liability corporate entity. It offers all the benefits of a Pvt Ltd company but avoids the legal need to search for a co-director or partner. Requires 1 nominee director.
Documents Required for Incorporation
To register your company or LLP, you will need to prepare the following digital copies:
- PAN Card of all proposed Directors / Partners
- Identity Proof (Voter ID, Passport, or Driving License of Directors)
- Address Proof (Bank Statement, Mobile Bill, or Electricity Bill of Directors, not older than 2 months)
- Passport Size Photographs of all Directors
- Registered Office Address Proof (Utility Bill + Rent Agreement or Consent Letter from the property owner)
MCA Incorporation Timeline & Milestones
The process is fully electronic and governed by the SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus) framework of the MCA:
- Digital Signature Certificates (DSC): We acquire Class 3 Digital Signatures for all directors to authenticate online filings.
- RUN Name Reservation: We draft and submit up to 2 unique name preferences for registrar checks.
- Drafting MOA & AOA: We formulate the Memorandum of Association (main objectives) and Articles of Association (by-laws).
- SPICe+ Submission: We upload all details including Director Identification Numbers (DIN) applications, PAN/TAN orders, and EPFO/ESIC setups.
- Certificate of Incorporation (COI): Upon approval, the Registrar of Companies (RoC) issues the COI, PAN, and TAN codes.
Post-Incorporation Support
Obtaining your certificate is only the first step. New companies must open a corporate bank account, appoint an auditor within 30 days, deposit the share capital, and file a Commencement of Business certificate (Form INC-20A) within 180 days.
